Terms of Service TipShare

Note: These Terms of Service are legally binding in Dutch. The Dutch version at /legal/leveringsvoorwaarden is the authoritative version. This English translation is provided for informational purposes only.
Article 1 — Definitions
- TipShare: the web application for tip distribution in hospitality, offered by H. Heijes Holding BV, established in the Netherlands.
- User: the natural or legal person who has created an account with TipShare.
- Restaurant: the hospitality business for which the User manages tip distribution.
- Service: making the TipShare application available including all functionality.
- Agreement: the agreement between TipShare and the User for access to the Service.
Article 2 — Applicability
- These terms apply to all use of the TipShare application and to every Agreement between TipShare and the User.
- By using TipShare, the User accepts these terms.
- Deviations from these terms are only valid if agreed in writing.
Article 3 — Subscription and payment
- TipShare is available for EUR 9 per month (excluding VAT).
- Payment is made in advance monthly via iDEAL or credit card (Mollie).
- The subscription renews automatically monthly unless cancelled.
- Cancellation is possible at any time via the settings. Upon cancellation, the account remains active until the end of the paid period.
- TipShare reserves the right to change the subscription price. Price changes will be announced at least 30 days in advance by email.
Article 4 — Refund policy
- Paid subscription fees are non-refundable, even upon early cancellation.
- After cancellation, the User retains access to the Service until the end of the current payment period.
Article 5 — Availability
- TipShare aims for 99.5% availability on an annual basis.
- Planned maintenance is announced at least 24 hours in advance.
- TipShare is not liable for damage resulting from unavailability.
Article 6 — Calculations and User responsibility
- TipShare is exclusively a tool to support tip distribution. The application does not replace the Restaurant’s own administrative and verification obligations.
- The Restaurant is at all times solely responsible for the accuracy of the tip distribution and must verify TipShare’s calculations before paying employees.
- TipShare accepts no liability for incorrect calculations, errors due to incorrect input, or financial damage resulting from use of calculations without independent verification.
Article 7 — General liability
- TipShare’s total liability is in all cases limited to the amount paid by the User in subscription fees in the three (3) months preceding the damage-causing event, with a maximum of EUR 27.
- TipShare is never liable for indirect damage, consequential damage, or loss of profits.
Article 8 — Intellectual property
All intellectual property rights to the TipShare application rest with TipShare. The User receives only a non-exclusive, non-transferable right of use for the duration of the Agreement.
Article 9 — Governing law
These terms and the Agreement are exclusively governed by Dutch law. Disputes will be submitted exclusively to the competent court in Amsterdam.
